S.C. PROMOD S.A. is a Romanian legal entity, legally constituted under the Romanian law, headquartered in Apahida, 21 Liberty Street, Cluj, registered at the Trade Register Cluj under no. J12/4202/1994, with Unique Registration Code: 6845993, fiscal attribute RO, bank account IBAN RO69 0000 0600 0691 3408 RZBR opened at Raiffeisen Bank Cluj - Napoca.

II. Quality of customer / buyer:

E-shop section of the site www.promod.ro is intended solely to businesses.

Minimum accepted order is 200 RON.

Client / buyer of the products described in the the virtual store www.promod.ro can be any legal entity that SC PROMOD S.A. has pre-established a contractual relationship.

The quality of new customer can be gained by any Romanian legal person, after completing all stages of the authentication procedure.

Selling through the virtual store www.promod.ro is not designed for individuals!

III. The order:

The order is an electronic document which intervenes as a form of communication between the provider - the vendor, and client - buyer, that the supplier - the seller agrees to make the selected products available for the customer - client, and to deliver them to the address indicated by the client - buyer, in turn the client-buyer is obliged to take these products and make the payment to the provider-vendor.

Stages to be completed by customer-buyer for issuing the order are:

1. Select the desired product and the desired quantity of this product.

S.C. PROMOD S.A. displays all the essential characteristics of the products listed in the the virtual store, allowing the client-buyer identification and correct choice. S.C. PROMOD S.A. reserves the right to modify without notice the characteristics of the products displayed. The images published on the website www.promod.ro are for example, the products delivered can sometimes differ from the images presented (nuance, ... etc.)

2. Adding the product / products to shopping cart is achieved by clicking on "Add to Cart"

3. To continue shopping, press "Continue" button, then follow the steps again from point 1 and 2;

4. To complete the shopping and display the contents if the cart click the button "Shopping Cart";

5. After displaying the contents of the shopping cart you must confirm the selected products, quantities and their prices and pass on the "Next Step". Prices of products displayed in the the virtual store www.promod.ro are in RON and do not include VAT.

6. Authentication is achieved through existing user account, just in case you do not own such an account, you can create it in this step. In order to create your account, your agree to provide true, accurate, current and complete information about you. You can not use another's person account without permission. Your are solely responsible for the activity that occurs in your account and you must keep your account password security. You must immediately notify the site administrator if your account security is compromised or an unauthorized person is using you account.

7. Choose the delivery address - where there may be several such addresses, please specify them at this stage - and the address for payment;

8. Continue by clicking "delivery methods", where you can select one of three possible delivery options, described in section IV. of this "Terms and Conditions".

9. Continue by clicking "Payment methods", where you can select one of four possible payment options, described in section IV. of this "Terms and Conditions".

10. Check for the last time the order made​​, checked if you want to change the amount, if you no longer want certain products, if you want to change the method of delivery and / or payment, this is done at this stage by clicking on the previous steps;

11. The client-buyer may leave an informative note at this stage for the Supplier - seller regarding the order made;

12. Tick ​​the box "I agree to the Terms and Conditions";

13. Before you checkout, you can view the following information: your identification data, the list of ordered products (name, quantity, price, total value of the order, delivery address, payment method).

14. The last step for completing the order is pressing the button "Confirm order". Your order became final.

Within 24 hours after issuing the order, the supplier-seller will send an e-mail to the address specified when creating the account, confirming your order, which will include information on the products ordered, their total value, the selected delivery and payment method.

IV. Delivery and Payment:

S.C. PROMOD S.A. offers three methods of delivery and 4 methods of payment for the products ordered, so you can choose the most suitable of them considering your needs.

Delivery methods:

1. Picking up the products ordered from SC Promod SA, is the general method of delivery and you benefit from a discount of 2% of the order value.

2. If you prefer the products ordered to be delivered directly to the office or at the working point specified, the products can be delivered via express courier company, the transport costs being borne by you.

S.C. PROMOD S.A. is not able to assume liability on qualitative deficiencies found and occurred after transporting the products ​​by the courier company, the supplier - seller is downloading the risks and responsibilities associated to the products when handing them to the delivery courier company. S.C. PROMOD S.A. ensures proper packaging of products, while ensuring the transmission of documents. (invoice, warranty .... etc.)

S.C. PROMOD S.A. assumes no delivery date by this mean of transport, but only the date the order is delivered to the courier.

3. S.C. PROMOD S.A. can deliver free of charge the products ordered by you with its own means of transportation, at the location or work point indicated, if the delivery address is in the distribution areas covered by Promod. The date the order is delivered depends on the  routes of Promod means of transport.  

Payment methods:

1. Cash, when collecting the merchandise – Discount 2% of the order's value

2. Order of payment (Proforma invoice) – Discount 2% of the order's value

3. Cash on delivery – Discount 1% of the order's value

4. Forward payment (promissory note, CEC) - in accordance with the contract.

Please note that the express courier company delivers the packages containing the products ordered by you between 10:00 and 15:00, so please indicate a shipping address where you can be found in this range time! If the client-buyer can not be found at the delivery address at the time of delivery, the agent courier will leave a notice to that address. On the notice will appear the parcel number and phone number of the courier. The client - the buyer has 5 working days to agree with the courier company another day for delivery. If this is not done, the courier agent will return the package to the supplier - seller. If the customer - the buyer is not at the delivery address and the courier agent can not leave any notice, it will attempt delivery and the next working day. If delivery fails a second time, the courier company returns the package to the supplier - seller.

S.C. PROMOD S.A. is not responsible for failing to honor an order in cases of force majeure.

Transfer of ownership of an order takes place upon receipt of order confirmation message from the provider - seller.

If the customer - the buyer discovers that the products delivered do not conform to technical specifications provided, Supplier - seller has the obligation to bring them into conformity.

If the supplier - seller can not meet deadlines for delivery of the order, he will announce as soon as possible the client - buyer on this and on the estimated time of completion of delivery.

Supplier - seller will issue an invoice for goods supplied, the client obligation is to provide the accurate information for the issuance of such bills.

If the customer - the buyer is late with payment of an order, not realizing their payment within the period stipulated in the invoice issued by SC Promod SA, will be required to pay a late penalty of 0.1% for each day of delay.

V. OTHER

1. Warranty: all the products sold in the e-shop www.promod.ro have the warranty required by the law, beeing sold with warranty certificates. The lack of warranty certificate must be notified within 48 hours of handing - taking the product. Any further appeal will not be taken into consideration.

2. Confidentiality: The information of any kind provided by the Customer-buyer to the Supplier- seller shall remain in his property. They can be used by S.C. PROMOD S.A. only for the execution of this and may be disclosed only with written consent of the client - the buyer.

3. Changes: If there are any changes in customer's - the buyer's  identification data before issuing a new command, he must notify the Supplier - seller during the authentication procedure by accessing maintenance account - account information.

4. Intellectual / industrial property : www.promod.ro is a registered trademark owned by SC Promod SA, it can not be taken, copied or used without written permission of the owner. Copying or distributing a portion of this site, without the prior written authorization from the administrator of the site is strictly forbidden! The content of this site is provided for informational purposes and can not be used, copied, reproduced, distributed, transmitted, displayed, sold, licensed for other purposes without the prior written consent of the owner of the property, SC PROMOD S.A. reserving all rights for this site and its content.

5. Applicable law, litigation, jurisdiction: This "Terms and Conditions" is subjected to the Romanian law. Any disagreement arising between the provider - the vendor and client - the buyer on the content, meaning, its performance will be resolved amicably. If amicably settlement of misunderstandings is not possible, the resolution of any disputes arising will be under the jurisdiction of the courts having jurisdiction under the law.
